These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you") and 17734255 Canada Corp, operating as Deborah Vineyard ("Company," "we," "us," "our"), governing your access to and use of the Resume Shield platform at resumeshield.online and any related APIs, tools, or services (collectively, the "Service").
By creating an account, accessing the Service, or clicking any button that indicates acceptance, you agree to be bound by these Terms. If you do not agree, do not use the Service.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
Resume Shield is an AI-powered career platform that provides tools to assist with resume optimization, cover letter writing, interview preparation, career strategy, and job market intelligence. The Service currently includes:
The Service is provided as-is and we may modify, add, or remove features at any time. We will make reasonable efforts to notify users of material changes.
You must be at least 18 years of age to create an account and use the Service. By using the Service, you represent that you meet this requirement.
You must provide an accurate email address and a password of at least 10 characters. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You must notify us immediately at admin@deborahvineyard.com if you become aware of any unauthorized access to your account. We are not liable for any loss resulting from unauthorized account use where you have failed to safeguard your credentials.
Each account is for a single individual. You may not share account access, sell your account, or use one account to serve multiple people commercially without a separate arrangement with us.
Resume Shield offers the following tiers. Prices are in USD and subject to change with notice:

Recurring subscriptions are billed monthly in advance via Stripe. Your subscription renews automatically on the same date each month unless cancelled. By providing payment information you authorize us to charge your payment method for the applicable subscription fee.
Monthly generation limits reset on the 1st of each calendar month. Unused generations do not roll over. A "generation" is defined as a single AI tool invocation that produces output — this includes resume builds, cover letter generations, tool uses, and AI analysis requests. Free-tier ATS scoring on the landing page does not count toward your generation limit.
We will provide at least 14 days' advance notice of price changes by email to the address on your account. Continued use of the Service after a price change takes effect constitutes acceptance of the new price.
The Sprint pass is a one-time, non-recurring purchase that grants access to Pillars 1, 2, and 3 with the following specific terms:
The 60-day clock starts from the moment your payment is confirmed, not from first login or first use.
You may cancel your recurring subscription at any time from the Settings panel in your dashboard. Cancellation takes effect at the end of your current billing period — you retain full access to your subscribed tier until that date, after which your account reverts to the Free tier. We do not offer prorated refunds for partial billing periods.
We do not offer refunds on Sprint passes or monthly subscription fees except where required by applicable law. If you believe you have been charged in error, contact us at admin@deborahvineyard.com within 14 days of the charge and we will review the matter.
You may delete your account at any time by contacting us at admin@deborahvineyard.com. Account deletion will cancel any active subscription at the end of the current billing period and permanently delete your account data within 30 days, subject to our data retention obligations described in the Privacy Policy.
We reserve the right to suspend or terminate your account without refund if you breach these Terms, abuse the Service, engage in fraudulent activity, or use the Service in a way that poses harm to other users or to us.
The AI models that power Resume Shield — including Anthropic Claude, OpenAI GPT-4.1-mini, Grok, and associated tools — generate suggestions based on patterns in training data and the inputs you provide. These suggestions:
Smart Enhance features pull live data from job postings, company websites, and social media via third-party services. The accuracy, completeness, and timeliness of that data is not guaranteed and is subject to the limitations of those third-party sources.
You are solely responsible for reviewing all AI-generated content before using it in any job application, professional communication, or other context. We are not liable for any outcome — positive or negative — that results from your use of AI-generated content from our Service.
The Talent Marketplace is an opt-in feature available to all registered users, regardless of subscription tier, that allows employers to discover anonymized candidate profiles built from your resume generation data.
When you enable Talent Marketplace visibility, your profile is processed by our AI to remove all personally identifying information — including your name, email address, phone number, employer names, institution names, and location — before being made discoverable. The anonymized profile contains only skill categories, experience level indicators, achievement metrics, and certification tiers.
Your name and email address are revealed to an employer only if and when you explicitly accept an inquiry from that employer. Declining, ignoring, or allowing an inquiry to expire does not reveal your identity. You may not reverse an accepted reveal.
You may block specific companies (such as your current employer) from seeing your profile. Blocked companies will not receive any signal that your profile exists. You are responsible for adding and maintaining your block list; we cannot guarantee that an employer operating under a different company name or through a third party will be blocked.
You may enable or disable your Talent Marketplace visibility at any time from your dashboard. Disabling visibility immediately removes your profile from employer search results. Existing accepted inquiries and revealed identities are not undone by disabling visibility.
Enabling Talent Marketplace visibility does not guarantee that you will receive employer inquiries or that any inquiry will result in employment. We do not vet, screen, or validate employers who access the Talent Marketplace.
By revealing your identity to an employer through an accepted inquiry, any subsequent communications occur between you and that employer directly. We are not a party to those communications and bear no responsibility for employer conduct following an identity reveal.
You retain full ownership of all content you upload to or generate using the Service, including your resume text, career history, job descriptions, and all AI-generated output produced from your inputs ("User Content").
By using the Service, you grant us a limited, non-exclusive, royalty-free license to store, process, and transmit your User Content solely for the purpose of operating and improving the Service. We do not sell your User Content to third parties. We do not use individual resume content to train AI models without your explicit consent.
You represent that you have the right to upload and use all content you provide to the Service. You must not upload content that belongs to another person without permission, contains false information about your qualifications or employment history, or violates any applicable law.
The quality of AI-generated output depends on the accuracy and completeness of the information you provide. We are not responsible for output quality that results from inaccurate, incomplete, or misleading inputs.
You agree not to use the Service to:

Resume Shield integrates with the following third-party services to deliver its features. Your use of the Service is subject to the terms of these providers where applicable:
We are not responsible for the availability, accuracy, or conduct of these third-party services. Outages or changes to any third-party service may temporarily affect features of Resume Shield without constituting a breach of these Terms.
The Resume Shield platform, including its design, code, branding, prompt architecture, PDF templates, and all non-user-generated content, is the property of 17734255 Canada Corp and is protected by applicable Canadian and international intellectual property laws.
The "Shield" product family name, the Deborah Vineyard brand, and the design system applied across Shield products are proprietary. You may not replicate, resell, or white-label any part of the Service without our written consent.
AI-generated content produced from your inputs using the Service is owned by you, subject to any applicable restrictions imposed by the underlying AI model providers' terms of service.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that: (a) the Service will be uninterrupted, error-free, or secure; (b) AI-generated content will be accurate, complete, or suitable for any particular purpose; (c) the Service will meet your specific requirements; or (d) any job application submitted using content generated by the Service will result in employment.
Some jurisdictions do not permit the exclusion of implied warranties. In such jurisdictions the above exclusions apply to the fullest extent permitted by law.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL 17734255 CANADA CORP, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR FAILURE TO OBTAIN EMPLOYMENT, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
IN ALL CASES, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM; OR (B) $100 CAD.
Some jurisdictions do not permit certain limitations of liability. In those jurisdictions, our liability is limited to the maximum extent permitted by law.
You agree to indemnify, defend, and hold harmless 17734255 Canada Corp and its affiliates, officers, directors, employees, and agents from any claim, demand, loss, liability, or expense (including reasonable legal fees) arising from: (a) your use of the Service in violation of these Terms; (b) your User Content; (c) your violation of any applicable law; or (d) any misrepresentation you make to an employer using content generated by the Service.
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute arising from or relating to these Terms or the Service shall first be subject to good-faith negotiation between the parties. If negotiation fails, disputes shall be resolved by binding arbitration in Ontario, Canada, unless you are located in a jurisdiction where this is not enforceable, in which case disputes shall be submitted to the exclusive jurisdiction of the courts of Ontario.
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.
We may update these Terms from time to time. When we make material changes, we will notify you by email at the address on your account at least 14 days before the changes take effect. For minor changes (such as corrections or clarifications), we may update the document without advance notice.
The "Last updated" date at the top of this document reflects the most recent revision. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to a change, you must stop using the Service and cancel your subscription before the effective date.
